Statement of Practice

Heather C. Johnston is an attorney in the Real Estate Transactional Department of Trainor Fairbrook. Ms. Johnston’s practice focuses on commercial real estate matters related to the acquisition, development, ownership and disposition of real property including purchase and sale transactions, leasing, title matters, easements and CC&Rs and commercial condominium conversions.

As part of her transactional real estate practice, Ms. Johnston has experience related to all facets of commercial real estate specifically in negotiating and documenting complex leasing transactions, preparing and negotiating purchase and sale agreements, easement agreements and CC&Rs. Ms. Johnson’s practice also includes the representation of property owners and investors that desire to convert existing retail, industrial or office projects into commercial condominiums, including negotiation with local cities and counties.

Ms. Johnston served as a consultant for the parties, interest and premises chapter of the book, Ground Lease Practice published by the California Continuing Education of the Bar in 2009. She has given presentations on commercial condominium conversions for several real estate industry groups.

  • Represented owner in conversion of a 40,000 square foot industrial building into two condominiums for sale of one-half of building to a local telecommunications company.
  • Represented national developer in conversion of approximately 80,000 square feet of industrial space into 34-unit commercial condominium project.
  • Represented national developer in conversion of approximately 100,000 square foot of office space into commercial condominium project in connection with the sale of approximately one-third of the building.
  • Represented regional investor with resolution of pre-existing condominium boundary and title issues.
  • Represented regional developer in sale of vacant land to national drug store retailer. The transaction included complex negotiations including post-closing development obligations.
  • Represented developer with commercial mixed-use complex in leasing prime retail and office space to national tenants.
  • Represented various owners with resolution of title issues including correction of defective deeds, easements and access issues.
